Terms of Service

These Terms of Service (the “Terms”) govern your use of Budtello Marketplace, operated at market.budtello.com (the “Service”) by askbud io LLC, dba Budtello, a Wyoming limited liability company (“Budtello,” “we,” “us”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

1. Who the Service is for

The Service is a business-to-business software service for licensed cannabis industry participants. It is for business use only, and you must be at least 21 years old. By using the Service you represent that you act on behalf of a business and that, where licensure is required for your activity, your business holds a valid license from the Oregon Liquor & Cannabis Commission (OLCC) or the applicable licensing authority in your state, and that the license is and remains in good standing.

2. What the Service is — and is not

The Service is a listings and communications platform. It lets licensed sellers publish wholesale listings and lets licensed buyers browse those listings and contact sellers directly.

No cannabis products are bought, sold, or transacted through the Service. All product transactions occur directly between licensed parties, off-platform, under applicable law — including all regulatory transfer, manifest, and tracking requirements. Budtello is not a party to, broker of, or payment processor for any product transaction, takes no commission on any transaction, and never takes title to, possession of, or custody of any cannabis product.

3. Accounts and license verification

Accounts are provided through our authentication provider. You are responsible for safeguarding your credentials and for activity under your account. Verification of licensure is performed via the Metrc state track-and-trace system. By submitting a Metrc user API key you authorize us to use it (a) to verify your association with the license you claim, at verification time and periodically thereafter, and (b) to read the package and lab-result data Metrc holds for the licenses on that key (including the harvest and source details Metrc attaches to a package) and to keep a copy in sync, so that your inventory is ready to list.

Nothing from your inventory is shown to other participants until you publish it as a listing. See the Privacy Policy for how the key is stored and protected.

4. Subscriptions and billing

Launch period. During our launch period, publishing listings to the public marketplace is free. The launch period runs until 100 verified Oregon dispensaries have joined Budtello. When that happens we will tell every seller, and paid plans ($49 per month) begin no sooner than 30 days after that notice. Continuing on a paid plan requires your explicit opt-in — there is no automatic conversion, no payment card is collected during the launch period, and nothing is charged unless you actively subscribe.

A verified Oregon dispensary is one OLCC retail licence that a signed-up buyer's Metrc key is credentialed at. Each licence counts once; a company holding several retail licences counts once per licence.

5. Your content and the permission you give us

What “Content” means. Everything you put into the Service or bring into it: listings, prices and quantities; photos and video; strain, grade, nose and other descriptions; the package and lab-result data we mirror from Metrc with your key; and the requests, offers and messages you send through the Service. Content does not include your Metrc API key, your sign-in details, or anything you create in the route tools.

You keep ownership. Your Content stays yours. Nothing in these Terms transfers your copyright or your business records to us, and the permission below is non-exclusive: you remain free to use, post or license your Content anywhere else.

The permission. You grant Budtello a worldwide, royalty-free, non-exclusive license to host, store, copy, display, adapt, analyze and create derivative works from your Content, for three purposes: (a) running the Service — showing your listings and media to other participants the way the Service is designed to, delivering your requests, offers and messages to the people you send them to, and support, security and record-keeping; (b) building, training and improving software, including machine-learning and AI models, as described in section 6; and (c) producing combined and de-identified data as described in section 7. We may sublicense this permission to service providers working for us, and we may sublicense or transfer it as part of licensing models or data built under sections 6 and 7, or to a successor to our business that is bound by these Terms — always within the limits of section 8.

It lasts. A model cannot be un-trained and a statistic cannot be un-counted, and a record of what a lot looked like, tested at and was offered for stays useful long after the lot is gone. This permission therefore continues after you remove Content or close your account (section 9).

What you promise. Your listings are accurate, current and lawful, and you have the legal right to offer what you list. You own the photos and video you upload, or hold the rights needed to give the permission above (for example from a photographer you hired), and anyone who can be recognized in them has agreed to appear. We may remove Content or suspend or terminate accounts for violations of these Terms — including lapsed or invalid licensure, misrepresentation, or unlawful content — with or without prior notice where the violation is serious.

6. AI and machine learning

We are building tools meant to make wholesale buying and selling work better for the people on this market — for example software that grades flower from photos and video, recognizes strains and visual traits, suggests and compares asking prices, matches buyers with lots, and catches mistakes in listings.

To build them we use Content — including your photos and video together with the facts saved alongside them at the time (strain, lab results, grow type, grade, nose, asking price, quantity, and how quickly the listed quantity went down) — to train, test and improve machine-learning and AI models.

This is part of using the Service, not a setting. There is no separate opt-out. If you do not want a photo, a video or a listing used this way, do not post it.

The models, scores and other outputs we build are ours. They are built from many businesses’ Content and give us no ownership of yours. If we use outside AI providers to process Content for us, it will be under terms that do not allow them to use your Content to train their own models.

7. Combined and de-identified data

We may combine Content and usage information from many businesses, or strip it of what identifies you, to produce statistics and insights — for example typical asking prices by strain, grade and region, how fast lots move, and what buyers are looking for. We may use, publish and license this combined or de-identified data, inside or outside the Service. It will not identify you or your business, it will not allow one business’s prices or stock to be picked out, and we will not try to re-identify it.

8. What we will never do

Messages you send in Budtello Market are kept. A price agreed in Messages is kept as that buyer’s price with that seller until either of you changes it.

9. If you remove content or leave

Removing a listing takes it out of the market right away. It does not erase our records: we keep removed listings and their history so that you can restore them, so that we can help with support requests and disputes, and under the permission in section 5. If you delete an individual photo or video from a listing, the file is removed from our storage. In every case, models already trained and combined data already produced are not unwound.

If you close your account, we delete or de-identify your personal details as the Privacy Policy describes. Content you contributed is no longer shown in the market and stays under section 5.

10. Acceptable use

You agree not to misuse the Service — including scraping or harvesting data, misrepresenting your identity or licensure, interfering with the Service’s operation, or using it for any unlawful purpose.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS ARE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDTELLO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS CAPPED AT THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

13. Indemnification

You will indemnify and hold Budtello harmless from claims arising out of your listings and other Content (including any claim that it infringes someone else’s rights), your product transactions with other users, your breach of these Terms, or your violation of law — including licensure requirements.

14. Changes

We may modify the Service or these Terms. For material changes to the Terms we will give notice before they take effect and ask you to agree to the new version the next time you sign in. A change that widens what we may do with Content you have already posted applies to that Content only once you have agreed to it. For other changes, continued use after the effective date constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.
